Hanover Hospital & PinnacleHealth Pursue Partnership

The board of directors of Hanover HealthCare PLUS, the parent organization of Hanover Hospital, and PinnacleHealth System have signed a non-binding letter of intent to pursue further negotiations toward a strategic partnership between the two organizations. During the period before the partnership is completed, Hanover Hospital will remain independent and continue to provide excellent patient care to those they serve.

Over the past year, Hanover Hospital’s board of directors has engaged in a thoughtful and deliberate partnership exploration process to protect the health system’s legacy, while also best positioning the organization for a strong future in the changing healthcare landscape.

“We are fortunate to have entered this process from a position of strength, which granted us the opportunity to be highly selective,” said Paul Spears, MD, chairman, Hanover Hospital board of directors. “The board of directors and administration have spent an extensive length of time reviewing proposals, potential partners and collaborative models and identifying opportunities that we believe will preserve the hospital’s legacy and best serve the interests of our community and patients. Given the current state of healthcare, this decision will better position Hanover Hospital for the delivery of the highest level of care in York and Adams counties in the future.”

In the state of Pennsylvania, more than 40 hospitals have pursued strategic partnerships or alliances over the last five years. The partnership with PinnacleHealth provides Hanover Hospital with increased access to capital, operational and technological resources, as well as intellectual capital and knowledge that will strengthen the organization’s ability to evolve and grow in an increasingly complex healthcare environment.

While the specific terms of an agreement between the two organizations have yet to be finalized, the intent of the partnership is to build upon the successes of Hanover Hospital, grow healthcare services, recruit top-level physicians, retain the current leadership team and employees for at least 12 months, ensure that all charitable donations given to Hanover Hospital will remain in the community and that the local board of directors play a role in governing the organization.

As for next steps, Hanover Hospital and PinnacleHealth will work toward the signing of a definitive agreement over the next several months and will pursue all the necessary regulatory approvals needed to complete their partnership. Both organizations will share more information at the appropriate time and are committed to being as transparent as possible throughout the process.
